Job Summary
The Manager, Banking Legal Services (Intra-African Trade & Corporate Finance) will provide legal advisory services, transaction structuring, contract negotiation, and regulatory compliance oversight to support Afreximbank’s banking operations. The role involves drafting and reviewing legal documents, managing legal risks, and offering strategic counsel on intra-African trade finance and corporate finance transactions.
The ideal candidate should have strong expertise in banking and finance law, structured trade finance, project finance, corporate lending, and cross-border financial regulations within Africa.
Key Responsibilities
Legal Advisory & Transaction Structuring
- Provide legal counsel on intra-African trade finance, corporate finance, project finance, and structured transactions.
- Draft, review, and negotiate loan agreements, guarantees, syndicated financing agreements, and cross-border financing contracts.
- Conduct legal due diligence on counterparties and transactions to ensure regulatory compliance.
- Assist in structuring financial transactions in line with African and international financial regulations.
- Monitor and mitigate legal risks associated with trade finance, asset-based lending, and corporate investments.
Regulatory Compliance & Risk Management
- Ensure compliance with AML, Anti-Bribery, and Insider Trading laws.
- Keep up to date with legal and regulatory developments affecting banking and finance law in Africa.
- Collaborate with compliance teams to ensure adherence to corporate governance and risk management frameworks.
- Provide legal support for the Bank’s borrowings in the international capital and money markets.
Dispute Resolution & Contract Management
- Handle litigation, dispute resolution, and enforcement of financial contracts.
- Represent Afreximbank in negotiations, legal consultations, and financial dispute settlements.
- Assist in contract dispute resolution and non-performing asset recovery.
Minimum Qualifications & Experience

Education:
- Postgraduate degree in Law from a recognized university.
- Diploma in Legal Practice from a recognized Bar Course.

Experience:
- Minimum 8 years of experience in banking & finance law, structured trade finance, project finance, and corporate finance.
- Proven track record in handling legal documentation for cross-border transactions.
- Experience working with financial institutions, international law firms, or corporate legal departments.
- Strong understanding of trade finance, capital markets, and corporate governance frameworks.

Technical Skills & Knowledge:
- Strong legal drafting, contract negotiation, and advisory skills.
- Familiarity with banking regulations, risk management, and international financial law.
- Ability to analyze complex legal documents and regulatory frameworks.
- Proficiency in Microsoft Office (Word, Excel, PowerPoint) and legal risk management systems.

Soft Skills:
- Excellent verbal and written communication skills in English (French, Arabic, or Portuguese is an advantage).
- Strong interpersonal skills and ability to engage with senior officials in banking, government, and financial institutions.
- Ability to work under tight deadlines, manage multiple legal projects, and provide strategic legal solutions.
- High attention to detail, integrity, and ability to function in a multicultural environment.
